Default '89 RR value opinions + axle build

A classic from Texas has made its way close to MN (yeah!) 120?k miles, 3.9 w/header, 3" exhaust, newer 2" lift + shocks, newer tires (AT), pretty clean just the begining of spotty surface rust on frame, doors and floors all really clean and upper tailgate still latches! Custom bumpers welded to frame (ops- easy to cut off, not blocking frame holes) not offroaded so it has straight panels, how novel. Currently not driven, asking $2000, I will be offering less.
Opinions?
Now the nitty-gritty, since this is a pre-ABS truck how easy will it be to upgrade axle insides, cost is always an issue. Can I fit 24 spline axles in non-abs housing? Is the Toy. swap an option? and can these things be done with used/easily modified parts. The end result I'm looking for is locked front/rear (selectable),stronger axle shafts, and maybe 4:11 gearing (for when I go to larger than current 32" tires), I do have some local Toy. connections. and some Cruisers came w/ E-lockers (right?).
I know I'm asking alot but I'm trying to wrap my brain around having a rust free capable truck at an affordable price.
The other option I have is a friend is selling one of his trucks, '90 RR 3" springs, 2" body lift , ARB front, Detroit rear, 24spline w/HD shafts and drive shafts, correcting axle supports, winch,skid plates all around,35" tires, roof rack etc., etc. but has non-working heater(big ops in MN) and has some rust and is dented. OH and is $3500.

Knowlegeble opinions needed!

I can't speak to the 24 spline axles or Toy conversion, but in my experience, it is almost always cheaper to let someone bear the brunt of the upgrade costs. Do you know what is wrong with the heater? how bad is the rust?

if half of the fun for u is doing the work, then by all means buy the project. otherwise the budget would almost necessitate picking up your buddies.
